Nscale announces $3.36 billion in convertible financing ahead of an IPO

Nscale announced $3.36 billion in convertible financing, including a billion-dollar NVIDIA commitment expected to be funded in November.

AI infrastructure company Nscale announced a convertible financing package totaling $3.36 billion on September 25 ahead of a future IPO. According to the company, $2.36 billion was funded at closing, while an additional billion-dollar NVIDIA commitment is expected to be funded in mid-November 2026.

Third Point led the financing, which includes other major investors. Nscale says the money will expand power infrastructure, liquid-cooled data centers and large GPU clusters.

How the financing is structured

The deal is based on convertible loan notes, debt intended to become equity when Nscale completes an IPO.

According to the company announcement, $2.36 billion was funded at closing.

NVIDIA committed another billion dollars, but this amount had not been funded when the announcement was published. It is expected in mid-November.

Third Point led the financing. Other investors named include NVIDIA, funds managed by Apollo, Citadel, Hudson Bay Capital, Abu Dhabi Investment Council and 8090 Industries.

Goldman Sachs served as placement agent.

What happens to the notes at the IPO

According to Nscale, the notes are intended to convert automatically into ordinary shares upon IPO completion.

NVIDIA's portion is intended to convert into non-voting shares.

The company did not publish the conversion valuation or full note terms, so the deal does not establish Nscale's IPO valuation.

The IPO date itself was not given either.

Where the money goes

Nscale builds cloud and data center infrastructure for AI workloads.

The company says the new financing will mainly support three areas:

  • Power infrastructure.
  • Data centers with liquid cooling.
  • Large GPU clusters.

These are precisely areas where construction costs have become a major AI market barrier. Building a data center is not just buying GPUs. It requires power, cooling, networking and physical planning enabling high computing density.

Nscale's $103 billion claim

In the announcement, Nscale says it has more than $103 billion in total contracted value.

This figure comes from the company itself.

The sources examined contain no independent verification that the amount equals collected revenue, recognized revenue or contracts without future conditions.

Treat it therefore as a company metric, not an independently verified financial measure.

Why investors are entering now

The AI infrastructure market continues requiring enormous capital.

Model companies and cloud providers seek more GPU capacity, with investment also expanding into power and cooling infrastructure.

Nscale seeks to position itself as a full-stack player supplying both the data center and the cloud layer built above it.

The investor mix, particularly NVIDIA's commitment, adds weight to the deal but does not eliminate risk. Nscale still needs to turn the new capital into active capacity and customers using it.

What remains unknown

The conversion valuation was not published.

Precise loan terms were not published in full.

NVIDIA's billion remained a commitment, not capital actually transferred at announcement.

The company also did not detail allocations between specific projects.

Why it matters

$3.36 billion is an exceptional sum for an AI infrastructure company before an IPO.

The deal illustrates how much the AI race now depends on physical capital: electricity, cooling, construction and GPUs.

It also shows investors are not focused only on model developers. Much of the business bet is moving to companies trying to supply the infrastructure those models run on.

For Nscale, the central question is how quickly it can convert financing into active capacity and what the terms will be for the IPO the convertible notes are intended to lead toward.
